End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Manu Labs, LLC ("Manu Labs," "we," "our," or "us") governing your use of the Dasher platform, including the web application, API gateway, messaging integrations, and associated software (collectively, the "Software"). By accessing or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this EULA and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes. This license does not include the right to:

  • Modify, adapt, translate, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
  • Sublicense, lease, rent, loan, or distribute the Software to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Use the Software to build a competing product or service

2. Account and Access

Use of the Software requires a registered account. You are responsible for safeguarding your account credentials and for all activity under your account. Each license is granted to a single user and may not be shared across multiple individuals. We reserve the right to suspend access if we detect unauthorized sharing or automated access patterns.

3. Bring Your Own Token (BYOT) Model

The Software operates on a Bring Your Own Token model, where you connect your own API credentials from supported AI providers (currently Anthropic Claude and OpenAI Codex). Under this model:

  • You are solely responsible for obtaining, maintaining, and paying for your third-party API credentials
  • Your credentials are stored securely using encrypted vault storage and are used exclusively to authenticate requests on your behalf
  • We do not monitor, meter, or bill you for third-party API usage — all billing is between you and the provider
  • You warrant that you have the right to use the credentials you provide and that their use through the Software does not violate any agreement with the provider
  • We are not liable for any charges, overages, or account actions taken by third-party providers as a result of usage through the Software

4. AI-Generated Outputs

The Software facilitates interaction with third-party AI models that produce code, text, and other outputs ("AI Outputs"). Regarding AI Outputs:

  • Ownership — Ownership and licensing of AI Outputs are governed by the terms of the underlying AI provider (Anthropic or OpenAI). Manu Labs, LLC does not claim ownership of AI Outputs generated through your use of the Software
  • No warranty — AI Outputs are provided "as is" without any warranty of accuracy, completeness, security, or fitness for any purpose
  • Your responsibility — You are solely responsible for reviewing, testing, and validating all AI Outputs before use. This includes checking for bugs, security vulnerabilities, license compliance, and correctness
  • No liability — We are not liable for any harm, loss, or damage resulting from your use or deployment of AI Outputs, including but not limited to code defects, data breaches, intellectual property claims, or financial losses

5. Sandboxed Execution Environment

AI tasks are executed in isolated, ephemeral sandboxed environments. You acknowledge that:

  • Each request runs in an isolated container that is destroyed after execution
  • A persistent storage volume is maintained per user for workspace continuity between sessions
  • We may impose resource limits (compute time, storage, memory) on sandbox executions
  • You must not attempt to escape the sandbox, access other users' environments, or exploit the compute infrastructure
  • Files and data stored in your workspace volume are subject to our data retention practices outlined in our Privacy Policy

6. Restrictions

In addition to the restrictions in our Terms of Service, you agree not to:

  • Use the Software to develop, train, or improve competing AI products or services
  • Automate access to the Software through bots, scripts, or other means not provided by us
  • Probe, scan, or test the vulnerability of the Software or connected infrastructure
  • Use the Software to generate content that infringes third-party intellectual property rights
  • Circumvent, disable, or interfere with security features of the Software
  • Use the Software for any purpose that is unlawful or prohibited by this EULA
  • Attempt to access, tamper with, or use non-public areas of the Software or our systems

7. Intellectual Property

The Software, including its design, architecture, source code, documentation, and branding, is the exclusive property of Manu Labs, LLC and is protected by intellectual property laws. This EULA does not grant you any ownership interest in the Software.

You retain ownership of the content you submit to the Software, including your code, prompts, and configuration. By using the Software, you grant us a limited license to process your content solely as necessary to provide the Service.

8. Updates and Modifications

We may update, modify, or discontinue features of the Software at any time without prior notice. Updates may be applied automatically. Continued use of the Software after updates constitutes acceptance of any modified functionality. We are not obligated to provide any specific features, updates, or support.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF ANY AI-GENERATED OUTPUTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL MANU LABS, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER
  • WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM AI-GENERATED OUTPUTS, THIRD-PARTY SERVICE FAILURES, OR YOUR USE OF CREDENTIALS PROVIDED UNDER THE BYOT MODEL

11. Indemnification

You agree to indemnify, defend, and hold harmless Manu Labs, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of this EULA; (c) your use or deployment of AI-generated outputs; (d) your use of third-party credentials through the BYOT model; or (e) any content you create, store, or transmit through the Software.

12. Termination

This EULA is effective until terminated. We may terminate or suspend your license at any time, with or without cause, with or without notice. You may terminate by deleting your account.

Upon termination: (a) all rights and licenses granted to you under this EULA cease immediately; (b) you must cease all use of the Software; (c) your data will be handled in accordance with our Privacy Policy; and (d) Sections 4, 7, 9, 10, 11, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising under this EULA shall be resolved through binding arbitration in accordance with our Terms of Service.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.

14. General Provisions

  • Entire agreement — This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Manu Labs, LLC regarding the Software
  • Severability — If any provision of this EULA is held unenforceable, the remaining provisions remain in full force and effect
  • Waiver — Failure to enforce any provision of this EULA does not constitute a waiver of that provision or any other provision
  • Assignment — You may not assign or transfer this EULA without our prior written consent. We may assign this EULA freely in connection with a merger, acquisition, or sale of assets
  • Modifications — We may modify this EULA at any time by updating this page. Material changes will be communicated via email. Continued use after changes constitutes acceptance
